Restaurant Participation Agreement (RPA)

This Restaurant Participation Agreement (this “RPA”) is a binding contract between the restaurant operator identified during sign-up (“Business”) and Lovable Product Agency, LLC d/b/a Tasti (“Tasti,” “we,” “our,” or “us”). This RPA sets forth the terms under which Business may access and use Tasti’s proprietary commerce platform that powers direct online ordering and related operational services (the “Platform,” and together with any ancillary services we provide, the “Service”).

BY (A) CLICKING “I ACCEPT,” (B) EXECUTING AN ORDER FORM THAT INCORPORATES THIS RPA, OR (C) ACCESSING OR USING THE SERVICE, THE INDIVIDUAL ACCEPTING THIS RPA REPRESENTS THAT THEY (i) HAVE AUTHORITY TO BIND BUSINESS AND (ii) AGREE ON BUSINESS’S BEHALF TO ALL TERMS BELOW. IF YOU LACK AUTHORITY OR DISAGREE WITH THESE TERMS, DO NOT ACCESS OR USE THE SERVICE.

ARBITRATION NOTICE. Except for certain disputes described in § 23, all disputes will be resolved by binding individual arbitration and YOU AND TASTI WAIVE ANY RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN A CLASS ACTION.

1 Key Terms & Acknowledgements

• License, Not Sale. The Platform is licensed, not sold, to Business for the term of this RPA.
• Privacy. Use of the Service is subject to Tasti’s Privacy Policy (“Privacy Policy”), incorporated here by reference.
• Disclaimer; Limitation. The Service, Tablets, and Printers are provided “as is.” Our liability is limited (§§ 20–21).
• Arbitration. Disputes are subject to arbitration (§ 23).

2 Fees & Payment

2.1 Setup & Equipment Fees

• Setup Fee. A one-time, non-refundable fee, as shown on Tasti’s current pricing page (“Pricing Page”).
• Tablet / Printer Fees. Monthly fees for any loaned tablets (“Loaned Tablets”) or printers (“Loaned Printers”), or one-time purchase fees if Business elects to buy such equipment. Additional equipment terms appear in §§ 8–9.
• Payment Method. Business authorizes Tasti (and its payment processors) to charge all fees to the payment method provided during registration. Business must keep its payment details current.

2.2 Subscription Service

If Business selects a subscription plan, recurring fees (“Subscription Fee”) will be charged automatically each month on the Subscription Billing Date until cancelled. Cancellation instructions and timing are on the Pricing Page and in the Service dashboard.

2.3 Delinquency
