This Beta Test Agreement (the “Agreement“) is made and entered into by and between Stepsize Limited ("Stepsize","Us", "We" or "Our") and you ("You").

By accepting this agreement by email or in writing, or by accessing or using any part of the software (defined below), you acknowledge that you have read this agreement, that you understand it and its terms and conditions, and that you agree to be bound legally by it.

If you do not agree with this agreement, you are not granted permission by Stepsize to access or otherwise use the software. In such case, you must reject the agreement and not use the software.

You must not allow any other person or third party to use your login details to access the software.

By proceeding to use our service you consent that we may process the personal data that we collect from you and third party sources in accordance with our privacy policy: https://terms.stepsize.com/privacy-policy/. In particular, we will use the information we hold about you for the purposes of providing an account for the use of the software and improving the software. We may also use aggregated, non-personally identifying information to improve and optimise the software.

You agree that We have the right to transfer, store and process the data that We collect from You at a destination outside the European Economic Area ("EEA").

The Software is in the prerelease beta stage. It is not at the level of performance or compatibility of a final, generally available product offering. The Software may not operate correctly and may be substantially modified prior to being made commercially available, or withdrawn. Therefore the software is provided “as is” without warranty of any kind. The entire risk arising out of the use or performance of the software remains with the user. In no event shall Stepsize be liable for any direct incidental or consequential damages, lost profits or lost data , or any other indirect damages arising out of the use of or inability to use the software, even if Stepsize has been informed of the possibility.

The term of this licence is from the time You accept the licence terms as above and continues unless and until terminated by Us, which We may do so at any time by giving You notice or by blocking your access to the Software. We grant You a limited non-transferable, non-sublicensable, non-exclusive and revocable licence during the term to use Our product to automatically document your codebase using the data generated as part of your agile process, and the desktop and browser clients for users to consume this documentation (the “Software”).

You acknowledge and agree that all: works of authorship, copyrights, trade secrets, passwords, trade names, internet domain names, database rights, rights in design, rights in know-how, rights in get-up, logos, trademarks and service marks (and related goodwill), patents and other intellectual property rights arising in any jurisdiction throughout the world and all related rights of priority under international conventions, including all pending and future applications and registrations therefor, and continuations, divisions, continuations-in-part, reissues, extensions and renewals; inventions, research, developments, devices, articles, reports, designs, photographs, drawings, charts, graphs, concepts, company methods, methodologies, processes, exercises and approaches, tools, documents, paradigms and physical property, whether copyrightable or non-copyrightable; moral rights; rights of publicity; and other proprietary rights previously or hereafter utilised or created by Us, Our employees or contractors in the Software or created in the performance of conducting the beta testing services (collectively, “Intellectual Property Rights”), shall be Our sole and exclusive property.

In consideration of Us granting You access to the Software, You agree to promptly report to Us any and all bugs, malfunctions and other failures of the Software as well as positive and negative experiences regarding the features and functions of the Software, and any ideas for the enhancement ("Feedback"). You assign to Us, Your entire right, title and interest in the Feedback which shall be deemed incorporated into and be a part of Our Intellectual Property Rights.
