SHARP STACK TERMS OF SERVICE
1. Acceptance of Terms & Scope
By accessing or using Sharp Stack (and the associated "Sharp Suite" of tools), you agree to be bound by these Terms of Service. This agreement governs all aspects of the software-as-a-service (SaaS) platform, including AI receptionist services, SMS automation, and CRM integrations.
2. Service Description & Usage Limits
- The Service: Sharp Stack provides automated communication agents powered by artificial intelligence.
- Usage Quotas: Specific tools, such as "Client Reactivation," are subject to a hard limit of 15 outreach attempts per customer/day.
- Subscription Allowances: Your plan includes a defined "Allowance" of SMS and voice minutes. Usage exceeding this allowance constitutes an "Overage."
- Overage Billing: You authorize Sharp Stack to bill your account for all overages on your standard monthly subscription date. Rates for overages are subject to change with notice.
3. AI Disclosure & Assumption of Risk
- Nature of AI: You acknowledge that the Service utilizes Large Language Models (LLMs). AI is inherently probabilistic and may produce results that are inaccurate, offensive, or otherwise "hallucinated."
- Unpredictable Results: By deploying Sharp Stack agents, you accept full responsibility for the unpredictable nature of AI-generated content. You agree that Sharp Stack is not liable for any communication errors, misunderstandings, or damage resulting from AI output.
4. Intellectual Property & Branding
- Data Ownership: You retain all rights to the "Inputs" (data you provide) and "Outputs" (transcripts/recordings) generated by the Service.
- Processing License: You grant Sharp Stack a worldwide, non-exclusive license to host, copy, and process your data solely for the purpose of providing the Service.
- Branding Restrictions: You are prohibited from using "Sharp Stack," "Sharp Suite," or any related logos within the identity of your AI agents. Your agents must not impersonate Sharp Stack corporate identity.
5. Compliance & User Responsibilities
- TCPA & SMS Compliance: You represent and warrant that you have obtained "prior express written consent" from all contacts before initiating communication through Sharp Stack. You are the "Sender" for all regulatory purposes.
- CRM Syncing: While Sharp Stack attempts to sync with your CRM’s opt-out status, we provide no guaranteethat messages will not be sent to opted-out individuals. You are responsible for maintaining the integrity of your CRM data.
