These Notion Solutions Partner Program Policies (“Policies”) published by Notion Labs, Inc. (“Notion”) set forth the rules and policies that govern participation in Notion’s Solutions Partner Program (the “Program”). These Policies are subject to the terms and conditions of the Notion Solutions Partner Program Agreement between Partner and Notion. Notion may update these Policies in its sole discretion from time to time via its Partner Site(s) and it is incumbent upon each Partner and applicant, as a condition of participation in the program, to be aware of any and all changes hereto. Terms capitalized but not defined herein have the meanings ascribed to them in the Notion Solutions Partner Program Agreement or applicable addenda.

Acceptance through Participation. By applying to, enrolling in, accessing or using any benefits or resources of, or otherwise participating in the Notion Solutions Partner Program, an entity accepts and agrees to be bound by the Notion Solutions Partner Program Agreement and these Policies, each as updated from time to time in accordance with its terms. If an entity has separately executed a written version of the Notion Solutions Partner Program Agreement with Notion, that version applies instead of the online version. Continued participation after the effective date of an update and notice of that update constitutes acceptance of the update. An entity that does not agree to the applicable Agreement or these Policies must cease participating in the Program.

Notion reserves the right to, at its discretion, administer and modify the Program referenced herein or restrict or deny participation and benefits based on the Program rules set forth herein. Updates to these Policies will be posted to the Notion Partner Site(s) and, unless such updates involve minor corrections or non-substantive updates, delivered to the administrator email addresses provided by each Partner.

Notion does not provide any warranties regarding these Policies and specifically disclaims any and all liability, including, without limitation, direct, indirect, consequential, incidental, and special damages incurred in connection with reliance on these Policies.

An affiliate, subsidiary, or acquired company cannot avail itself of the rights provided under a parent or affiliated entity’s Solutions Partner Program Agreement without the written consent of Notion, though in certain cases Notion may permit affiliates to aggregate certain information for the purposes of measuring minimum requirements for participation in a Program.

Program Overview

These Policies, which are intended to apply to all Program Engagement Models within the Program, explain the policies, requirements and benefits applicable for Partners in the Program. Partner and its employees should review these Policies in order to understand the requirements to maintain participation in the Program and take full advantage of its benefits. The terms of these Policies are subject to the terms of the Notion Solutions Partner Program Agreement between Notion and each Partner.

The following Solutions Program Engagement Models (each, a “Engagement Model”) are available under the Program:

• Service Engagement Model: ****Partners provide professional services to Notion customers, as Consulting Partners, either directly or as a Notion subcontractor, such as implementation, configuration, workflow discovery, solution design, technical support, change management, and training.
• Sell Engagement Model : Partners who facilitate the purchasing process for prospective customers who prefer to purchase indirectly from Notion. Sales Partners own the billing relationships with customers and provide transactional support.

How to Apply to Program Engagement Models

• A legal entity may apply for the Program through the Partner enrollment page on Notion’s website at www.notion.com/solutions-partner-program (or successor site).
• Sign up for and create a profile in the Service Marketplace, which provides access to Program resources, the application process and other Track application processes and more.
• Submit an application for the Program and agree to the Notion Solutions Partner Program Agreement.
• Upon submitting its application, the applicant will receive an initial email acknowledging receipt. If the application is not complete, Notion may follow up with additional questions.
• Once an application has been completed and submitted to Notion for a particular Engagement Model , our goal is to review and follow up within seven business days. Timelines vary based on application volume and internal capacity.
• If the applicant is rejected, Notion will use commercially reasonable efforts to inform the applicant of the reason for the rejection.
• If Notion decides to move the applicant forward in the process, it will notify the applicant and grant the applicant access to the Notion Partner Site(s) to begin their training, certification, and other requirements, as set forth below.
