New Post: AMC: Dubious and Doubtful Analysis

Lately there are so many questions that everyone keeping asking regarding the real amount of shares that AMC ever issued for their class A stock (Ticker: AMC - CUSIP No. 00165C104).

**Disclaim: I am not a financial advisor and I am a retard. I will only use facts, media news, and the real statistics ever reported to authorities in this analysis

1. AMC is not "diluting" their shares. In fact, they are buying back shares or reducing the available shares in market

As of December 28, 2020, there were 164,298,527 shares of Class A Common Stock and 51,769,784 shares of Class B Common Stock outstanding. This was reported to SEC on their **Form DEF 14C - Definitive Information Statement** on Dec 31, 2020.

The total class A shares of approximately 164M shares is correctly reflected in the below screen shot for Mudrick Capital Management, L.P. They owned ~12.6M shares or 7.7%. All of the other executive accounted for 1.6% and Silver Lake Group has 21.3%, so there should be 69.4% shares floating in the market if there was no other owners. That means there will be ~114M sharing with unidentified owners. In fact, they could be sitting at different institutions like Fidelity, different mutual fund holders, and individual stakeholders or retail owners.

As of Jan 27, 2020, Silver Lake converted all of their debt equity (which composed of Class A stock and class D stock) to Class A common stock in SEC FORM 4-Security Sale/Purchase Record. On Jan 29,2020, there were rumors about Silver Lake Group selling their ~44.4M shares to the exchange. I believed these rumors or fake news on social media was created to make people believe that AMC was diluting their shares by adding an extra 44.4M shares into the market. In reality, it never hit the market. Silver Lake sold it INDIRECTLY to some individuals whom I don't know. I am still researching on this, but using your intuition that if they sold ~44.4M all at once to the exchange on Jan 29, it would have definitely crashed the stock and brought the price all the way down to $1-$2. In fact, from Jan 29 to Feb 2, AMC stock was stable and rising. They reported they sold it all on Jan 29 at the average price of $16.5/shares which mean the buyer has to be some private wealthy persons or some institutions, or even AMC itself.
Another point adding to this is the debt contract with Silver Lake will not be matured until May 1, 2026. Why would AMC quickly get rid of Silver Lake and pay them out with an extreme high price if their shares is only worth $1-$2/shares like those stupid analyst at MKM partners suggested (reference)? Also, the interest rate for their bond equity is only 2.95%, which is considered pretty low.

As of February 2, 2021, BlackRock Inc reported to SEC that they are holding 6,211,222 shares of class A stock of AMC (Ticker: AMC - CUSIP No. 00165C104) in Form SC 13G - Ownership Acquisition Statement. This represents 5.7% ownership of the same class stock. If we do a quick reserve calculation, we can see that the total available of class A stock now is only 108,968,807 shares (6,211,222 /0.057).

>>>>> Comparing to Dec 31, 2020, the total shares of class A stock has reduced from 164.2M to 108.9M. The difference is equivalent to 56M, which made me believe AMC might buy back all the shares from Silver Lake and some on the exchanges.
