This MakeOS Mining Agreement (this “Agreement”) contains the terms and conditions that govern your use of the MakeOS Dilithium Mining service (the “MakeOS Mine” or “Mining Service”), use of the related ERC-20 MakeOS Dilithium contract (the “MakeOS Dilithium Contract”), and purchase of the compute instances and resources (the “Compute Resources”, “Compute Resource”, “Miner Instance” or “Pool”) and is an agreement between you or the entity that you represent (“Miner” or “you”) and Make One (“Make One,” together with its parent company, subsidiaries and affiliates, “Company”, “We”). Miner, Make One and Company are herein referred to individually as a “Party” and collectively, as the “Parties”.

The Mining Service rewards a Miner with a centralized token (the “Mining Service Dilithium”, “Dilithium”) for mining blocks via a proof-of-work algorithm. Dilithium on a MakeOS network (the “MakeOS Network”) is known as “MakeOS Network Dilithium”.

By signing up to the MakeOS Mine platform, the Miner understands and accepts that the Miner is subject to and bound by this Mining Agreement.

Make One reserves the right, at any time and at its sole discretion, to amend, update, modify, add or remove parts of this mining agreement. You are mandated to check this Agreement periodically for changes. If you continue to use the website, service and applications after an update of the Agreement, it means you accept and agree to the changes.

Miner understands and agrees to the following:

MakeOS Software and Network

  1. Make One is the software company tasked with building the MakeOS decentralized code collaboration platform client software (the “MakeOS Client”). The client will provide the ability for users (the “MakeOS Users”) to start and connect to a network (the “MakeOS Network”).
  2. On completion of the development of the MakeOS Client, Make One will release the client as open-source software with a permissive license.
  3. Make One will not be responsible for launching the public MakeOS Network.
  4. Any person or entity (the “Network Launcher”) with the knowledge of the client’s operational capabilities may launch a public MakeOS Network at their discretion.
  5. The Network Launcher may update the MakeOS Client source code to add, update, or remove functionalities. Make One will have no control over the changes made by the Network Launcher and the MakeOS Network they launch.
  6. Make One will have no control over the launch time and configurations of any MakeOS Network launched by third-parties. The Company will not determine when, how and who can use the network.
  7. Make One will build a system smart contract into the MakeOS Client that will allow any MakeOS Network to have native digital currencies named “MakeOS Network Dilithium” and “MakeOS Network Latinum” for transacting within the network.
  8. The Company will create an open, publicly available record (the “Dilithium Allocation Contract”) containing allocations of Mining Service Dilithium that can be imported into a MakeOS Network. Any Network Launcher may choose to seed their Network’s initial token supply and distribution from this record or develop their own.
