Acceptance, Eligibility, and Capacity These Participant Terms of Service (“Terms”) form a binding contract between KikiLabs (“KikiLabs”) and you, an individual accessing or using the KikiLabs platform as a research participant providing feedback (“Participant”, or “you”). BY ACCESSING OR USING THE PLATFORM, YOU ACCEPT AND AGREE TO BE BOUND BY THESE TERMS. If you do not agree, you must immediately discontinue all use. You represent and warrant that: (a) you are at least eighteen (18) years of age; (b) you are using your true, legal name; (c) you have the legal capacity to enter into these Terms; and (d) all information you provide is accurate, complete, and not misleading. You shall promptly update such information as needed to remain accurate.
Relationship of the Parties Participant is an independent contractor. Nothing in these Terms shall be construed to create a partnership, joint venture, employment, franchise, or agency relationship between Participant and KikiLabs or between Participant and any Customer. Participant has no authority to bind KikiLabs or any Customer and shall make no representations to third parties suggesting otherwise.
Platform Role; No Compensation by KikiLabs KikiLabs provides a technology platform that enables KikiLabs researchers (“Customers”) to solicit, and Participants to match with (the “Services”), Customers sponsoring and conducting research and development. KikiLabs does not (a) guarantee the availability of projects; (b) guarantee acceptance into any project; (c) guarantee that any Customer will provide compensation; or (d) unless otherwise expressly indicated in writing by KikiLabs, provide compensation or benefits to Participant. Participant acknowledges and agrees that KikiLabs has no responsibility or liability for compensation, reimbursement, damages, or losses arising from any actual or expected payment by Customers or any third party, and that Participant is solely responsible for satisfying his or her tax obligations. Participant acknowledges good and valuable consideration for the opportunity to participate in the Services in exchange for third party compensation.
Recordings; Ownership Participant understands and agrees that use of the Services may be recorded, and that such recordings may include video or photographic recordings of Participant’s face, audio recordings of Participant’s voice, recordings of Participant’s screen, inputs, and recordings of interactions with Participant’s surroundings (together, the “Recordings”), provided that all such information capture will only occur in connection with use of the Services. Participant will ensure that no third party is captured in a Recording. All content, data, information, Recordings, or other works created, recorded, transmitted, provided, or submitted by Participant through use of the Platform, whether oral, digital, or otherwise, (together, “Content”) is commissioned by KikiLabs or its designees as a “work made for hire.” To the extent any Content is not deemed a work made for hire, and in any case, Participant hereby irrevocably assigns to KikiLabs or its designees all right, title, and interest in and to such Content, including all intellectual property rights, without additional consideration. Participant further irrevocably waives any and all moral rights, rights of attribution, integrity, or similar rights, to the maximum extent permitted by law. Participant hereby represents and warrants that such Content is original, and its provision shall not be in violation of any third party right or applicable law. KikiLabs may use Participant’s name, image, likeness, and voice for business operations, quality assurance, product development, and training purposes. Participant may share with KikiLabs comments or ideas about the Services, in which case such disclosures are unsolicited, unrestricted, and Participant assigns any rights in such comments or ideas to KikiLabs, without payment to Participant.
Confidentiality; Prohibited Acts; Survival “Confidential Information” means all non-public information disclosed or made available through the Platform, including test content, brand information, product information, prompts, questions, instructions, themes, strategies, and participant interfaces. Confidential Information expressly includes Customer information. Participant shall: (a) maintain Confidential Information in strict confidence; (b) use Confidential Information solely for participation in applicable research; (c) not disclose, publish, display, transmit, screenshot, record, store, or reproduce Confidential Information; and (d) immediately delete Confidential Information upon request or termination. Participant shall not use Confidential Information for securities trading, personal gain, competitive purposes, or in violation of applicable law or third party rights. These obligations survive for five (5) years following termination for any reason.
MNPI and Securities Law Compliance Participant acknowledges that Confidential Information may include material non-public information (“MNPI”) about publicly-traded companies. Participant shall not trade, purchase, sell, recommend, tip, or otherwise exploit securities based on MNPI, or disclose MNPI to any other person. Participant shall immediately notify KikiLabs if Participant believes that MNPI has been disclosed or accessed. Participant shall comply with all applicable securities laws, and acknowledges that violation may result in civil and criminal penalties.
Use and Content Restrictions; Third Party Sites Participant shall not: (a) screenshot, photograph, record, copy, or store any portion of the Platform; (b) scrape, extract, reverse engineer, decompile, disassemble, or otherwise attempt to derive source code; (c) bypass security features; (d) interfere with platform functionality; (e) provide any Content that is misleading or false, generated by artificial intelligence, harmful to someone, or infringes on a third party right or applicable law; (f) share accounts; or (g) use the Platform for competitive or unlawful purposes. You may find links to other sites when you use the Services. You acknowledge and agree that KikiLabs is not responsible or liable for: (i) the availability or accuracy of such sites or resources; or (ii) the content, advertising, or products on or available from such sites or resources. The inclusion of any link on the Services does not imply that we endorse the linked site. You use the links at your own risk and relieve us from any and all liability arising from your use of any third-party website.
Termination; Effect of Termination KikiLabs may suspend or terminate Participant’s access, in whole or in part, at any time, with or without cause, upon notice or immediately. Upon termination, Participant shall: (a) immediately cease all access and use; (b) permanently delete Confidential Information; and (c) certify deletion upon request. Any rights and obligations intended to survive termination shall do so, including Sections 4–15.
