1. Agreement to Terms
These Terms of Service (the "Agreement") constitute a legally binding agreement between Vynt Inc., a Delaware corporation ("Vynt," "we," "our," or "us"), and the business entity or organization accessing or using our Services ("Client," "you," or "your"). This Agreement governs your access to and use of Vynt's revenue integrity audit, recovery support, and software platform services.
This Agreement is effective as of the date you (a) execute a Statement of Work or Order Form referencing these Terms, (b) click "I Agree" or a similar button, or (c) first access or use the Services, whichever occurs earliest.
You represent and warrant that: (i) you have full legal authority to enter into this Agreement on behalf of the Client; (ii) you have read and understood these Terms; and (iii) the Client is a business entity duly organized and in good standing under applicable law.
2. Definitions
The following terms have the meanings set forth below:
- "Audit Report" means the written report delivered by Vynt upon completion of a Revenue Audit, documenting identified billing discrepancies, their estimated financial impact, root cause analysis, and a prioritized recovery roadmap.
- "Base Fee" means the upfront fee of five thousand U.S. dollars ($5,000 USD) payable by Client prior to the commencement of a Revenue Audit.
- "Client Data" means any data, files, reports, or other information provided by Client to Vynt in connection with the Services, including without limitation Stripe invoice exports, usage logs, and billing records.
- "Confidential Information" means any non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.
- "Documentation" means any user guides, specifications, or other technical materials provided by Vynt relating to the Services.
- "Order Form" or "Statement of Work (SOW)" means a written order document executed by both parties that specifies the Services to be provided, applicable fees, and any special terms.
- "Platform" means Vynt's web-based software-as-a-service application for automated revenue reconciliation, anomaly detection, and recovery tracking, available on a subscription basis.
