Effective Date: The date of Customer's subscription checkout via Stripe or other agreed payment method. If Customer signs an Order Form referencing this Agreement, the Effective Date will be the date of last signature on such Order Form.

This SaaS Subscription Agreement ("Agreement") is entered into by and between YouCorp Technologies, Inc. d/b/a Dealteam by Boardy ("Boardy", "we", "us", or "our"), headquartered at 251 Little Falls Drive, Wilmington, DE 19808, and the subscribing customer ("Customer", "you", or "your"). By completing the subscription checkout process, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you are entering into this Agreement on behalf of an entity, you represent and warrant that you have authority to bind that entity. Any conflicting or additional terms in any purchase order or other Customer document are rejected and have no effect unless expressly agreed in a written amendment signed by both parties.

0. Definitions

• Affiliate means an entity that controls, is controlled by, or is under common control with a party.
• Order Form means an ordering document (including online checkout) that specifies the Services, term, and pricing and references this Agreement.
• Services means access to the Platform and any Supplementary Services provided by Boardy under this Agreement and the applicable Order Form.
• Customer Data has the meaning set forth in Section 4.1.
• Subscription Term means the period identified in the Order Form or, if none, the month-to-month period under Section 5.

1. Services Provided

1.1 Core SaaS Platform

Boardy provides a hosted software-as-a-service platform known as Dealteam by Boardy (the "Platform"). Through the Platform, Customers can access a curated network, matching and recommendation tools, and a secure environment to manage introductions and engagement opportunities. Subject to Customer’s compliance with this Agreement and payment of all Fees, Boardy grants Customer a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Platform during the Subscription Term solely for Customer’s internal business purposes.

1.2 Supplementary Services

As part of the subscription, Boardy also provides the following supplementary services through the Platform and integrated communication channels (including Slack):

• Curated introductions to potential customers, investors, strategic partners, and talent.
• Access to Boardy's private community and professional network.
• Strategic support on fundraising, go-to-market strategy, and business development.
• Performance reports outlining strategies tested, results achieved, key learnings, and recommended next steps.

Customer acknowledges and agrees that Boardy does not control and is not responsible for the actions or decisions of third parties or outcomes of any introductions, recommendations, or strategies. THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” BOARDY MAKES NO WARRANTIES OR GUARANTEES, EXPRESS OR IMPLIED, REGARDING ANY PARTICULAR RESULTS OR OUTCOMES (INCLUDING WITHOUT LIMITATION FUNDING, REVENUE, PARTNERSHIPS, HIRING, OR THIRD-PARTY ACTIONS).
