WikiWe Prospectors’ Compact

This Compact is entered into and between the persons who are invited by the Administrator and subsequently join the secure private communication channel (hereinafter “Consent Channel”) indicated in this Compact below. Each such person is hereinafter referred to as a "Party" and collectively as the "Parties".

The Parties appoint and accept Ricardiam, a Wyoming DAO LLC, and its wholly-owned affiliates as Administrators of, and Party to, this Compact. The Administrators are authorized by the Parties to enforce the Compact in a fair and unbiased manner, including but not limited to temporarily restricting access to information under its administration if detects or reasonably suspects a material breach of this Compact by any Party, until the breach or suspected breach is resolved hereunder. The Parties excluding the Administrator may by unanimous consent remove and appoint any Administrator of this Compact.

  1. Purpose

    The Parties wish to collaborate on work product and to explore potential business opportunities, collaboration, research, and/or mutually beneficial relationships (the "Purpose"), and in connection with the Purpose, each Party may disclose or make available to the other Party certain work product or confidential information.

  2. Repositories

    For avoidance of doubt, all repositories located in or accessed via https://www.notion.so/wikido, https://wikido.notion.so, or any of its directories, databases or pages are non-exclusively licensed to Ricardiam.

  4. Intellectual Property:

    Nothing in this Compact shall be construed as granting any rights under any patent, copyright or other intellectual property right of any Party, nor shall this Compact grant any Party any rights of confidential information, except for the limited right to use the confidential information in connection with the Purpose.

    To the extent that Parties jointly or solely conceives, develops or reduces to practice any new inventions, original works of authorship, developments, concepts, know-how, improvements, trade secrets, or other intellectual property, whether or not patentable or registrable under patent, copyright, trademark, or similar laws (collectively, “Intellectual Property”), which are published in the Repositories and were created by any Party and disclosed for use by the other Party, the Party shall grant, and hereby grants, a fair-share royalty, non-exclusive, USA-only, revocable license (”Collaborators’ License”) to the other Parties.

  5. Confidentiality:

    The Parties agrees to maintain the confidentiality of business information and shall not disclose any such information to any third party without them accepting WikiWe MNDA.

  6. Term and Termination

    Each Party’s acceptance date of this Compact shall be the date that the Party joins the Consent Channel.

    Termination by a Party shall be effective upon written notice by the terminating Party in the Consent Channel followed within not more than twenty-four (24) hours by withdrawal of the terminating Party from the Consent Channel. Any Party who terminates this Compact and fails to thereafter publish in the Consent Channel a valid forwarding address for future communication thereby releases all remaining Parties and the Administrator from any duty of notice that may otherwise apply and from any and all liability for failure to provide notice under this Compact.

  7. Conflict Resolution and Governing Law

    This Agreement shall be governed by and construed in accordance with the Utah IDR 1.1, and every dispute arising under or in relation to this Compact shall be resolved as provided therein.

  8. Consent Channel

    In witness of accepting this Compact, each Party joins the WikiWe Collaborators’ Signal channel indicated below (the “Consent Channel”).
