1) Introduction & Agreement to Terms

These Terms of Service (“Terms”) govern your access to and use of the Earlybird interfaces, websites, mobile apps, APIs, and related software (collectively, the “Interfaces”) and the non-custodial smart-contract protocol enabling event- or index-based positions on private-market outcomes (the “Platform,” and together with the Interfaces, the “Features”).

The Features are made available by Earlybird Platform Corp, a Panamanian company (“Company,” “we,” “us,” or “our”). Certain software components may be authored or licensed by third parties ([open-source licenses] and vendors, collectively, “Third-Party Services”).

NOTICE: BY ACCESSING OR USING ANY FEATURE (INCLUDING BY CONNECTING A WALLET), YOU AFFIRM THAT YOU ARE LEGALLY COMPETENT TO ENTER INTO A BINDING CONTRACT AND YOU AGREE TO THESE TERMS, INCLUDING THE MANDATORY ARBITRATION AND CLASS-ACTION WAIVER IN §16. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE FEATURES.

2) What Earlybird Is (and Isn’t)

• Information vs. Transactions. Parts of the Interfaces provide informational content only (news, data, research, educational materials). Other parts allow you—entirely self-directed—to interact with on-chain smart contracts to create or trade outcome positions (“Positions”).
• Non-custodial; no exchange services. We are not a broker, exchange, ATS, clearinghouse, or custodian. We do not take possession of your assets, control your wallet, route your orders, or execute transactions on your behalf. All blockchain interactions are initiated by you via your self-hosted wallet.
• No investment, legal, tax, or accounting advice. All content is for informational purposes only and should not be relied upon as advice. Seek qualified professional counsel before acting.

3) Eligibility & User Representations

To use the Features, you represent and warrant that:

a) You are at least 18 (or the age of majority in your jurisdiction, if higher) and have full legal capacity;

b) You are not a person or entity subject to sanctions or on any list of prohibited parties (including OFAC, EU, UN, or UK lists);

c) You are not located in, incorporated in, a resident or citizen of, or accessing from any Restricted Jurisdiction (defined below) and you will not use VPNs or similar tools to circumvent geoblocking;

d) Your access complies with Applicable Laws (defined in §4), and your information provided to us is true, accurate, and complete.

4) Restricted Persons & Jurisdictions; Sanctions; No-Circumvention

Restricted Jurisdictions. You may not use the Platform (transactional Features) if you are in, a citizen or resident of, organized in, or accessing from any of the following (collectively, “Restricted Jurisdictions”):

• Comprehensively Sanctioned / Embargoed: Iran; North Korea; Syria; Cuba; the Crimea, Donetsk, and Luhansk regions of Ukraine
• Other Prohibited or Regulated Locations (trading not permitted): United States of America; United Kingdom; France; Ontario (Canada); Singapore; Poland; Thailand; Australia; Belgium; Taiwan; People’s Republic of China
• Any other jurisdiction designated by us from time to time.
