THIS TERMS OF USE AGREEMENT (the "Agreement") constitutes a legally binding agreement by and between Research Industries Limited, LLC, a limited liability company DBA Vinehire, organized under the laws of the state of Idaho ("Vinehire") and the client, whether personally or on behalf of an entity ("Client"), with regard to access and use of Vinehire's website: https://www.vinehire.com (the "Website") and recruiting services provided thereunder. Failure to agree and adhere to all of the terms, conditions and obligations contained herein results in the express prohibition of the Client's use of the Website and services, and the Client is ordered to discontinue use immediately. Thereafter the relationship between Client and Vinehire shall cease and be of no further force and effect between the parties, except that any obligation of Client to pay Vinehire for services rendered shall remain and continue to be an ongoing obligation owed by Client to Vinehire.
Recruiting Services Overview: Vinehire provides recruiting as a service solutions including candidate sourcing, screening, and resume submission. Services are provided on a subscription or project basis as agreed upon in the service agreement.
Payment Authorization: By providing payment information and agreeing to these terms, Client explicitly authorizes Vinehire to charge the agreed-upon fees to the provided payment method. Client acknowledges that they are the authorized user of the payment method and have permission to use it for these services.
Service Delivery Timeline: Recruiting services are delivered over time and cannot be returned like physical goods. Client acknowledges that work begins immediately upon payment and that substantial effort and resources are invested in each search from the outset.
No Chargeback Policy: Client agrees not to initiate chargebacks, payment disputes, or reversals with their credit card company or financial institution for services that have been delivered or are in progress. Any billing disputes must be resolved directly with Vinehire through the dispute resolution process outlined in Section 23.
Unless otherwise indicated, the Website is the property of Vinehire and all source code, databases, functionality, software, website designs, audio, video, text, photographs and graphics of any nature and regardless of format (herein, collectively or individually, the "Content") and the trademarks, service marks, and logos contained there (the "Marks") are owned and controlled by Vinehire and are protected by copyright and trademark laws. The Content and Marks are provided "As-Is" for your information and personal use only. Except as expressly provided herein, no part of the Website and no Content may be copied, reproduced, aggregated, republished, uploaded, posted, displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without Vinehire's express prior written permission.
All candidate profiles, resumes, research, screening/interview notes, and recruiting materials created on Client's behalf ("Recruiting Materials") are provided for Client's use and evaluation purposes only. Client receives a non-exclusive license to use these materials solely for their hiring evaluation process. Client is under no obligation to hire any candidate presented and owes no additional fees beyond the agreed monthly subscription regardless of hiring outcomes. Vinehire retains the right to use anonymized data and insights for improving services and industry benchmarking. Client warrants that any job descriptions, company information, or materials provided to Vinehire are accurate and do not infringe on any third party's rights.
Client Cooperation Required: Successful recruiting requires active client participation. Client agrees and warrants that all job descriptions, requirements, and company information provided are accurate and complete. Changes to requirements after service commencement may result in timeline adjustments.
By using the Website and services, Client represents and warrants that: Client has the legal capacity and agrees to comply with these Terms of Use; Client is authorized to enter into employment agreements; Client will not use the services for any illegal or unauthorized purpose; Client's use of the services will not violate any applicable employment law or regulation; Client has budget approval and authorization to pay for services rendered.
Client shall not engage in any of the following activities:
Employment Law Compliance: Client acknowledges that all hiring decisions, interview processes, and employment practices remain solely Client's responsibility. Client shall not request Vinehire to participate in or facilitate any discriminatory practices based on protected characteristics as defined by federal, state, and local employment laws, including race, color, religion, sex, national origin, age, disability, or genetic information. This includes requesting that Vinehire exclude or preference candidates based on protected characteristics during the resume sourcing process.
Misrepresentation: Client shall not misrepresent job opportunities, company information, or requirements to Vinehire, as this affects the quality and accuracy of sourced resumes.
Data Misuse: Client shall not use sourced resumes for purposes other than the specific hiring process for which they were provided or retain candidate information beyond agreed timeframes.
