THIS TERMS OF USE AGREEMENT (the “Agreement”) constitutes a legally binding agreement by and between Research Industries Limited, LLC, a limited liability company DBA Vinehire, organized under the laws of the state of Idaho (“Vinehire”) and the client, whether personally or on behalf of an entity (“Client”), with regard to access and use of Vinehire’s website: https://www.vinehire.com (the “Website”) and recruiting services provided thereunder. Failure to agree and adhere to all of the terms, conditions and obligations contained herein results in the express prohibition of the Client’s use of the Website and services, and the Client is ordered to discontinue use immediately. Thereafter the relationship between Client and Vinehire shall cease and be of no further force and effect between the parties, except that any obligation of Client to pay Vinehire for services rendered shall remain and continue to be an ongoing obligation owed by Client to Vinehire.

Service Description and Payment Terms

Recruiting Services Overview

Vinehire provides recruiting services on a contingent or retained basis as agreed upon in a separate service agreement or engagement letter (the “Engagement Agreement”). Contingent searches are performed at no upfront cost to Client; Vinehire’s fee is earned and payable only upon Client’s hiring of a candidate presented by Vinehire. Retained searches require payment of a non-refundable retainer as specified in the Engagement Agreement, with the remaining balance due upon placement. The specific fee structure, percentage, and payment schedule for each engagement shall be defined in the Engagement Agreement.

Fee Calculation

Unless otherwise specified in the Engagement Agreement, Vinehire’s placement fee shall be calculated as a percentage of the placed candidate’s first-year total compensation, including base salary, guaranteed bonuses, and signing bonuses. The applicable percentage shall be set forth in the Engagement Agreement.

Payment Authorization and Terms

By providing payment information and agreeing to these terms, Client explicitly authorizes Vinehire to invoice and collect the agreed-upon fees. Contingent placement fees are due within ten (10) days of the candidate’s start date unless otherwise specified. Retained search installments are due according to the schedule in the Engagement Agreement. Client acknowledges that they are authorized to commit to payment on behalf of their organization.

Candidate Ownership and Fee Protection

A candidate is considered “presented” by Vinehire upon delivery of the candidate’s resume, profile, or identifying information to Client, whether by email, applicant tracking system, or other means. If Client hires a candidate presented by Vinehire within twelve (12) months of the date of presentation, regardless of whether the engagement has been terminated or the candidate was subsequently sourced through another channel, the full placement fee shall be owed to Vinehire. Client agrees to notify Vinehire promptly upon hiring any presented candidate.

Guarantee Period

If a placed candidate voluntarily resigns or is terminated for cause within the guarantee period specified in the Engagement Agreement (the “Guarantee Period”), Vinehire will conduct a one-time replacement search at no additional fee, subject to Client’s continued cooperation and the availability of qualified candidates. The Guarantee Period begins on the candidate’s first day of employment. This guarantee does not apply if the position is eliminated, materially altered from the original specifications, or if Client fails to provide a work environment consistent with what was represented during the search.

No Chargeback Policy

Client agrees not to initiate chargebacks, payment disputes, or reversals with their credit card company or financial institution for services that have been delivered or are in progress. Any billing disputes must be resolved directly with Vinehire through the dispute resolution process outlined in this Agreement.

Intellectual Property Rights

Unless otherwise indicated, the Website is the property of Vinehire and all source code, databases, functionality, software, website designs, audio, video, text, photographs and graphics of any nature and regardless of format (herein, collectively or individually, the “Content”) and the trademarks, service marks, and logos contained there (the “Marks”) are owned and controlled by Vinehire and are protected by copyright and trademark laws. The Content and Marks are provided “As-Is” for your information and personal use only. Except as expressly provided herein, no part of the Website and no Content may be copied, reproduced, aggregated, republished, uploaded, posted, displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without Vinehire’s express prior written permission.

Recruiting Materials Usage

All candidate profiles, resumes, research, screening/interview notes, and recruiting materials created on Client’s behalf (“Recruiting Materials”) are provided for Client’s use and evaluation purposes only. Client receives a non-exclusive license to use these materials solely for their hiring evaluation process related to the specific position(s) covered by the Engagement Agreement. Client shall not share, distribute, or disclose Recruiting Materials to third parties, including other employers, staffing agencies, or recruiting firms, without Vinehire’s prior written consent. Vinehire retains the right to use anonymized data and insights for improving services and industry benchmarking. Client warrants that any job descriptions, company information, or materials provided to Vinehire are accurate and do not infringe on any third party’s rights.
