This Terms of Use Agreement (the “Agreement”) constitutes a legally binding contract between Aureum Development LLC, a Maryland limited liability company doing business as Soft Logic Design (“Soft Logic,” “we,” “our,” or “us”), and you, the client (“Client,” “you,” or “your”), whether acting individually or on behalf of a business entity.
This Agreement governs your access to and use of the website located at https://houseofsoftlogic.com (the “Website”), and all services, content, communications, deliverables, and features made available through or by Soft Logic.
By accessing the Website or engaging Soft Logic’s services, you acknowledge that you have read, understood, and agree to be legally bound by the terms set forth in this Agreement. If you do not agree to all terms herein, you are expressly prohibited from using the Website or any related services, and must immediately discontinue access and use.
You represent and warrant that you have full legal capacity and authority to enter into this Agreement, and, if applicable, are duly authorized to do so on behalf of the entity you represent.
This Agreement shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict of law principles. Any legal action or proceeding arising out of or related to this Agreement shall be instituted exclusively in the state courts of Washington County, Maryland, or the United States District Court for the District of Maryland. The parties irrevocably consent to the jurisdiction of such courts and waive any objection based on venue or forum non conveniens.
Soft Logic’s official business hours are Monday through Thursday, 10:00 AM to 5:00 PM Eastern Time. The studio is closed on Fridays, and also observes one full week off per calendar month. These scheduled closures are a standard part of Soft Logic’s service model and are reflected in turnaround timelines and billing expectations. Clients will be notified in advance of any upcoming full-week closures. During these closure periods, no project work or correspondence will be conducted, and response times may be delayed until operations resume.
If any provision of this Agreement is found to be unlawful, void, or unenforceable, such provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.
All final designs and original working files created by Soft Logic for Client (“Deliverables”) become the sole and exclusive property of the Client once full payment for the applicable subscription period has been received. Unless explicitly agreed otherwise, Soft Logic retains no ownership rights over final Deliverables.
Client affirms that any assets provided to Soft Logic during a project (including but not limited to logos, images, and copy) are owned by Client or are properly licensed. Client shall indemnify and hold Soft Logic harmless against any claims resulting from improper use of third-party content.
Soft Logic retains the right to showcase completed Deliverables for portfolio and promotional purposes unless otherwise agreed upon in writing or an NDA is executed prior to project start.
