This Limited Liability Company ("Company") was formed by filing Articles of Organization with the Wyoming Secretary of State on [DATE] under the Wyoming Limited Liability Company Act, W.S. 17-29-101 et seq., as amended (the "Act"), including provisions for decentralized autonomous organizations under W.S. 17-31-101 et seq.
The name of the Company is Markee Growth Fund LLC.
The registered office and registered agent of the Company shall be as stated in the Articles of Organization, or as subsequently amended by filing with the Wyoming Secretary of State.
The purpose of the Company is to:
(a) Receive, hold, and manage an allocation of MARKEE tokens (an ERC-20 token on the Ethereum blockchain);
(b) Liquidate MARKEE tokens as necessary to fund operational expenses for the development and growth of the Markee platform;
(c) Pay approved expenses including contractor compensation, infrastructure costs, professional services, and other operational expenses as determined by Multisig governance;
(d) Interface with traditional banking and financial systems for the conversion of cryptocurrency to fiat currency;
(e) Upon completion of its mission, dissolve and distribute any remaining assets to the Markee Cooperative or as directed by Multisig vote;
