These terms and conditions (these “Terms”) govern your participation in Notion Lab, Inc.’s (“Notion”) learning courses and certification program (“Certification Program”). In addition, your participation in the Certification Program is subject to any applicable policies made available by Notion for the Certification Program (“Certification Policies”). For clarity, each Course and/or Exam may have its own Policies. These Terms and the Certification Policies are subject to change from time to time at Notion’s sole discretion. By selecting ‘agree’ or otherwise indicating your agreement, or by participating or continuing to participate in the Notion Certification Program (including by registering for a Course of Exam, as defined below), you are agreeing to the most current version of these Terms. If you are participating on behalf of your employer or another entity, you represent that (a) you have full legal authority to bind your employer or such entity as set forth herein and (b) you read and understood these Terms and accept them on behalf of your employer or such entity. Notion reserves the right to refuse to provide any user with access to the Certification Program or any part thereof and further reserves the right to discontinue, with or without notice, the Certification Program, for any or all users.
- Program Description. The Certification Program assesses individuals to determine whether they meet certain subject matter proficiency requirements with a Notion service and includes in-person or online certification course (“Course”) and/or certification assessments (“Exam”). Notion may update or modify the Certification Program, including Courses, Exams, Notion Badges, and Notion Certifications, at any time in its sole discretion.
- Eligibility.
- You must be 18 years of age or older to be eligible for the Certification Program.
- You are not eligible to participate in the Certification Program if your participation in the Certification Program would violate applicable export controls or sanctions programs, including if you are a resident of Cuba, Crimea, Iran, North Korea, Syria, Russia, Belarus, or the regions Donetsk People’s Republic or Luhansk People’s Republic.
- Digital Badges and Certifications.
- Subject to the terms herein, if you successfully complete a certification assessment, Notion will authorize you to display a digital badge (“Notion Badge”) or digital certification designation (“Notion Certification”), as applicable, signifying your successful completion of a subject matter course and related assessment. All rights not expressly granted herein are reserved by Notion.
- You acknowledge Notion has sole ownership of the Notion Certification, Notion Badges, Notion Content and Notion’s trademarks, service marks, logo, and all related intellectual property rights (“Notion Marks”). Nothing in these Terms gives you any right, title, or ownership interest in the Notion Marks or any content or materials (including, without limitation, information, data, text, software, presentations, photographs, graphics, video, and messages (collectively, “Notion Content”)) provided by or on behalf of Notion as part of the Certification Program.
- You may only use the Notion Certifications and Notion Badges in accordance with the Certification Policies and Notion Brand Usage Guidelines. You may not use the Notion Badges in a manner that may interfere with or diminish the rights of Notion in the Notion Marks. You agree that Notion Badges and Notion Certifications are not, and you may not suggest or represent they are, a warranty or guarantee of your abilities with regard to the Notion services. Nothing in these Terms authorizes you to use the Notion Marks except as expressly specified in these Terms.
- Only the natural person receiving a Notion Certification or Notion Badge may use them in their individual capacity. Corporate or other non-individual entities or organizations may not use Notion Certifications or Notion Badges obtained by an individual employee or contractor to represent themselves as accredited, certified, or credentialed by Notion.
- Notion may require that you renew your Notion Badge or Notion Certification, which may include passing the then-current applicable Exam.
- Your Obligations.
- You may not sell or distribute the Notion Content. You agree that the Certification Program and Notion Content are Notion’s confidential information (“Confidential Information”). Notwithstanding the foregoing, Confidential Information shall not include: (a) information that is generally and legitimately available to the public through no fault or breach of yours; (b) information that is generally made available to the public by Notion; (c) information that is independently developed by you without use of or reference to any Confidential Information; or (d) information that was rightfully obtained from a third party who had the right to transfer or disclose it to you without limitation. You agree to indefinitely maintain the confidentiality of all Confidential Information and not disclose or otherwise make it available to any third party, directly or indirectly. You agree to use the same degree of care to protect Confidential Information as you use to protect your Confidential Information or the Confidential Information of your employer or other legal entity on whose behalf you are participating in the Certification Program, but no less than reasonable care.
- Notwithstanding any other provision in these Terms, if you provide any ideas, suggestions or recommendations (“Feedback”) to Notion regarding or in any way related to the Notion services, the Certification Program, or any Course or Exam, Notion is free to use and incorporate such Feedback in Notion’s sole discretion, without payment of royalties or other consideration to you. Nothing in these Terms shall be interpreted to grant a license or waive any rights in either party’s patents, copyrights or trademarks.
- You will act and perform all activities under the Certification Program and any and all services you may provide and business you may conduct using the Notion Certifications, Notion Badges, and learnings from participation in the Certification Program in a manner that maintains the good reputation and brand of Notion and its services. Without limitation, you (i) will not engage in any illegal, false or deceptive acts or practices; (ii) will not hold yourself out as a representative, employee, or contractor of Notion or make any representations, warranties, or guarantees to any third parties, including Notion customers, on behalf of Notion; and (iii) will comply with all applicable laws and regulations.
- You are responsible for the accuracy, completeness, quality, and legality of any information you provide in connection with the Certification Program, the means by which you acquired such information, and your use of such information in connection with the Certification Program.
- You agree to not include confidential or sensitive information, or any illegal, harmful, or infringing material of any kind, in any content you create as part of your completion of any Course or Exam. You agree to adhere to our Code of Conduct and Content & Use Policy at all times in connection with your participation in the Certification Program.
- Without limiting Notion’s remedies available at law or in equity or under any other agreement with you or your employer or other entity you represent, any violation of these Terms may result in Notion suspending or cancelling your participation in the Certification Program (including loss of Notion Badges or Notion Certifications).
- Fees and Taxes; Cancellations.
- Certain Courses and Exams may be subject to fees. In such a case, you may be asked to supply certain relevant information, such as contact, billing and payment information. You represent and warrant that you have the right to use any payment information that you provide to Notion, including any payment card or banking information. You will pay all charges incurred by you or on your behalf in connection with any such purchase at the prices in effect when such charges are incurred. In addition, you are responsible for any taxes applicable to your payment transactions. If you are located in a jurisdiction which requires you to deduct or withhold taxes or other amounts from any amounts due to us under these Terms, you will bear the sole responsibility and liability to pay such tax and any fees payable by you under these Terms will be grossed up to account for any such tax withholding.
- Unless expressly set forth herein, any fees are non-cancelable and non-refundable. Any refunds will be subject to Notion’s applicable refund policies. Refunds can be requested and issued within 30 days of purchase date and only if Courses or Exams purchased have not been used.
- Any cancellations or rescheduling are subject to applicable policies in the Certification Policies.
- Term and Termination.
- These Terms, including your participation in the Certification Program, may be terminated by either party hereto at any time without cause, on thirty (30) days’ written notice to the other party. If Notion exercises the foregoing right to terminate without cause, it will refund you any amounts paid by you for any unused Course and Exam fees.
- Notion may immediately terminate these Terms, including your participation in the Certification Program, if: (i) you fail to fully perform or comply with any obligation under these Terms; (ii) you use the Certification Program benefits, including Notion Certification or Notion Badge, or disclose Confidential Information, for a purpose other than as provided in these Terms; (iii) you infringe an intellectual property right of Notion; or (iv) engage in an activity prohibited by law.
- Immediately upon termination, you shall immediately cease all use of all Notion Badges and Notion Certifications, and all rights granted pursuant to these Terms shall immediately expire. Termination of these Terms shall not prejudice or in any way compromise Notion’s rights under these Terms or in law, or equity.
- Relationship of Parties.
- You acknowledge and agree that nothing in these Terms or any other fact or circumstance shall create an employment relationship between you and Notion, nor shall it create any partnership, agency or any form of joint enterprise relationship. You shall confirm your lack of authority to act on Notion’s behalf whenever necessary to avoid third party confusion.
- You shall not advertise, promote, or suggest in any manner that your services are provided or sponsored in any way by Notion, or that you are employed by or affiliated with Notion, except to display your Notion Badge or Notion Certification.
- Governing Law and Venue. All claims arising out of or relating to these Terms will be governed by the laws of the State of California, excluding its conflict of laws rules, and will be litigated exclusively in the federal or state courts of San Francisco County, California, USA; you and Notion consent to personal jurisdiction in those courts.
- Data Sharing and Protection.
- You agree and understand that it is necessary for Notion to collect, use and otherwise process your personal information to process your Courses and Exams, issue and maintain Notion Certifications and Notion Badges, otherwise support the services provided under these Terms and the Certification Program.
- At all times, personal information will be handled in accordance with the Notion’s Privacy Policy. Additionally, and only to the extent applicable, if an entity has purchased your participation in the Certification Program (e.g., your employer), you hereby authorize Notion to disclose your personal information/personal data, as well as information on the Courses or Exams you have registered for or completed, and your certification status, with such third party entity paying for your participation in the Certification Program. If Notion terminates these Terms or your participation in the Certification Program, Notion may notify the entity that has purchased your participation in the Certification Program of such termination. From time-to-time, third parties may contact Notion in order to verify your credential status, and you hereby authorize Notion to disclose your credential status to such third parties seeking verification. Additionally, you acknowledge that Notion may display certain details of your personal information, such as your first and last name, profile picture, email address, name of employer or other entity purchasing your participation in the Certification Program (if such entity is a Notion Solutions Partner), on a public facing directory page.
- As explained in Notion’s Privacy Policy, Notion may engage third party service providers (e.g., Skilljar, our current learning management system provider powering the Certification Program) to assist with the provision of the Certification Program. Notion may also use third party proctoring providers to ensure the integrity of Exams, in which event proctoring may include (i) requests for documentation to verify your identity, and (ii) monitoring and recording of your webcam, computer microphone and computer screen by the proctor to collect a recording of your image, the content of your computer screen, anything on your desk or in the background of your webcam, and any sound audible during the Exam, which may be shared with Notion. By accepting these Terms, you agree that Notion may share your information with such third party service providers in order to provide you with the Certification Program.
- Disclaimer of Warranties. TO THE EXTENT PERMITTED BY APPLICABLE LAW, NOTION SPECIFICALLY DISCLAIMS ANY AND ALL STATUTORY, EXPRESS OR IMPLIED WARRANTIES RELATING TO THE CERTIFICATION PROGRAM INCLUDING, WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
- Limitation of Liability. IN NO EVENT WILL THE MAXIMUM AGGREGATE LIABILITY OF NOTION ARISING OUT OF OR RELATED TO THESE TERMS EXCEED THE GREATER OF THE FEES PAID TO NOTION HEREUNDER IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR ONE HUNDRED U.S. DOLLARS ($100.00). IN NO EVENT WILL NOTION OR ANY NOTION ENTITY HAVE ANY LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS FOR ANY LOST PROFITS, REVENUES, GOODWILL, OR INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, COSTS OF COVER, BUSINESS INTERRUPTION OR PUNITIVE DAMAGES, EVEN IF NOTION HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR IF ANY REMEDY OTHERWISE FAILS OF ITS ESSENTIAL PURPOSE. THE FOREGOING LIMITATIONS AND EXCLUSIONS WILL APPLY WHETHER AN ACTION IS IN CONTRACT OR TORT AND REGARDLESS OF THE THEORY OF LIABILITY. THIS SECTION WILL NOT APPLY TO THE EXTENT PROHIBITED BY LAW.
- Indemnification. You shall defend, indemnify, and hold Notion, its affiliates, and their respective officers, directors, employees, agents, successors and assigns harmless from and against any and all actions, demands, claims, and liabilities arising out of your use of the Notion Badges or Notion Certifications in a manner which is in any way inconsistent with these Terms. In the event Notion seeks indemnification from you, Notion will promptly notify you in writing of the claim(s) for which Notion seeks indemnification. Notion reserves the right, at its option and sole discretion, to assume full control of the defense of such claim with legal counsel of its choice. In the event Notion assumes control of the defense of such claim, Notion shall not settle any such claim requiring payment from you without your prior written approval. Upon Notion’s request, you shall reimburse Notion for any expenses reasonably incurred by Notion in defending such a claim, including, without limitation, attorney's fees and costs, as well as any settlement of the claim in respect to which the foregoing relates.
- General.
- All notices hereunder must be in writing and will be deemed to have been given only when sent by mail (return receipt requested), personally delivered, the second business day after sending by email, or sent by documented overnight delivery. Notice to you will be provided to the mailing or email address Notion has on file for you and notice to Notion shall be sent to 685 Market Street, San Francisco, CA 94105, Attn: Legal Department (or to such other address as to which you have been notified).
- You acknowledge that the rights and obligations hereunder, in whole or in part, including the right to use a Notion Badge or Notion Certification, are personal and may not be assigned by you to any third party. Any unauthorized assignment is void.
- Notion is not liable for any performance or delays.
- A waiver by Notion of any breach or default under these Terms shall not constitute a waiver by Notion of any subsequent breach or default.
- If a court of competent jurisdiction holds that any provision of these Terms are invalid or unenforceable, the remaining portions will remain in full force and effect.
- These Terms constitute the entire agreement between you and Notion with regard to the Certification Program, and supersede all prior negotiations, agreements, and understandings with respect to the subject matter.
