IMPORTANT - PLEASE READ CAREFULLY. These Master Platform Terms & Conditions ("Master Terms") form a legally binding agreement between you and the relevant TruMarket Group entity (and, where applicable, its Group Affiliates) governing your access to and use of the TruMarket Platform. By creating an account, accessing the Platform, or transacting through it, you confirm that you have read, understood, and agreed to be bound by these Master Terms and any role-specific Addendum applicable to you. If you do not agree, do not access or use the Platform.
1.1 These Master Terms govern access to and use of the website, applications, dashboards, APIs, and related services made available under the TruMarket brand (collectively, the "Platform").
1.2 The Platform is owned and operated by the TruMarket Group, comprising AGRO SMART CONTRACTS, LDA. (Portugal) - which owns the Platform's intellectual property and acts as the commercial principal for Transactions originated, structured, and settled outside Peru, and TRU MARKET BLOCKCHAIN S.A.C. (Peru) - which operates the Platform under license from AGRO SMART CONTRACTS, LDA. and acts as the commercial principal for Transactions involving Peruvian-resident Sellers and Peruvian-side trade flows. References to "TruMarket", "we", "us", or "our" mean the TruMarket Group, except where the context requires reference to a specific Operating Entity (clause 2).
1.3 The Platform is offered exclusively to legal entities and other commercial counterparties acting in the course of a business or trade. The Platform is not offered to consumers, retail investors, or any natural person acting outside of a business purpose.
1.4 By creating an account, accessing the Platform, transmitting any information through the Platform, or executing any transaction facilitated by the Platform, the relevant legal entity ("you" or the "User") accepts these Master Terms and any Addendum applicable to the User's role, and represents that the individual accepting on its behalf is duly authorized to do so.
1.5 These Master Terms are accompanied by, and incorporate by reference, the role-specific Addenda described in clause 18 and the Privacy Policy referenced in clause 11. In the event of a conflict between these Master Terms and an Addendum, the Addendum prevails for the matters it specifically addresses.
1.6 The User's contracting counterparty for any specific Transaction is the Operating Entity identified in the Commercial Agreement (clause 2). Where no Operating Entity is identified, the contracting counterparty is determined by the role and geography of the Transaction in accordance with clause 3.
In these Master Terms, capitalized terms have the meanings set out below.
