“Account Information” or “Confidential Information” means information that you and your Users provide to Authentic Distinction in connection with (1) the creation or administration of your account; or (2) Authentic Distinction’s maintenance of your account; or (3) the delivery of Services. For example, Information includes names, usernames, passwords, phone numbers, email addresses, billing information, and usage information associated with your Authentic Distinction account.

“Affiliate” or “Affiliates” means any other person or persons or entity or entities that refer(s) Customers to Authentic Distinction.

“Affiliate Link” or “Affiliate Links” means hyperlinks or listed URLs that track Customers referred by a particular Affiliate.

“Affiliate Program” means one of two programs to track payments made to Affiliates for Customer referrals.

“Affiliate Terms” or “Participant Terms” means the terms and conditions outlined in Authentic Distinction’s Affiliate Program Participant Terms.

“Agreement” or “Contract” or “Terms” or “Policies” or “Program Policies” means the terms and conditions outlined in either a Customer’s fully-executed contract with Authentic Distinction, fully-executed agreement with Authentic Distinction, or Authentic Distinction’s Legal Ish.

“Agreement Term” or “Contract Term” means the time period that the Customer’s Agreement or Contract covers.

“Client Portal” means Authentic Distinction’s online marketplace of Services, which includes Customer Resource Hubs.

“Confidential Information” means information that either party (“Discloser”) discloses to the other party (“Recipient”) under this Agreement, and that is conspicuously marked, or orally, and if applicable, visually stated as confidential or would normally be considered confidential information by a reasonable party under the circumstances. “Confidential Information” does not include information that Recipient can document: (1) is independently developed by Recipient; (2) is rightfully given to Recipient by a third party without confidentiality obligations; or (3) becomes public through no fault of Recipient. Authentic Distinction’s Confidential Information includes non-public information regarding features, functionality, performance, and pricing of our Services, the Documentation and Content, and other Authentic Distinction products or services.

“Content” means resources and tools relating to our Services that Authentic Distinction provides, as may be updated by Authentic Distinction from time to time. Content does not include documentation provided to Customers by Authentic Distinction.

“Content Hub” or “Resource Hub” means spaces on Authentic Distinction’s Website or Client Portal that host Content and Documentation.

“Cookies” means the collection of cookies, pixel tags, local storage, and other similar technologies used at Authentic Distinction; terms and conditions are listed under our Cookie Notice.

“Customer” or “Customers” or “Personal Customer” or “Corporate Customer” means the person or persons for which Authentic Distinction is rendering Service(s), as well as its agents and/or representatives.

“Customer Data” means all data stored by Customer or at Customer’s direction in Authentic Distinction’s Client Portal in relation to our Services. Customer Data does not include Account Information. Authentic Distinction sometimes refers to “User Content” in its policies and Documentation. To the extent User Content is stored in or transferred into a Customer Resource Hub, such User Content shall be considered Customer Data.

“Documentation” means user documentation relating to our Services that Authentic Distinction provides, as may be updated by Authentic Distinction from time to time. Documentation does not include content published in user or community forums hosted or moderated by Authentic Distinction.

“Effective Date” means the date the Agreement, Contract, Terms, or Policies become in effect and enforceable.

“Intellectual Property Rights” means all patent rights (including utility models), copyrights, moral rights, trademark, and service mark rights, trade secret rights, and any other similar proprietary or intellectual property rights (registered or unregistered) throughout the world, together with all applications for any of the foregoing.

“Feedback” means Customer feedback, comments, and suggestions for improvements to and about the Service.

“Non-Disclosure Agreement” means the relevant non-disclosure agreement entered into between the agreement signer and Authentic Distinction.
