This Battery Energy Storage System (BESS) Supply and Purchase Agreement is made and entered into as of this th day of _, 2026 (the "Effective Date") by and between:
[SELLER NAME], a company governed under the laws of __, having its registered office located at (hereinafter referred to as the "Seller"), and
[BUYER NAME], a company governed under the laws of __, having its registered office located at (hereinafter referred to as the "Buyer"),
hereinafter referred to together as the "Parties" and individually as the "Party".
The Parties wish to determine the terms under which (i) Seller will manufacture and supply BESS to Buyer, (ii) a third-party inspection company designated by Buyer will inspect the BESS prior to Buyer confirming the actual purchase, and (iii) Buyer will purchase and pay for such BESS.
