The Disclosing Party, in connection with the disclosure of Confidential Information under this MNDA, shall exercise a reasonable duty of care to ensure that the Confidential Information being disclosed is accurate, complete, and current to the best of its knowledge. The Disclosing Party shall promptly notify the Receiving Party of any material changes, errors, or omissions in the Confidential Information, and shall provide updates or corrections as appropriate. The Disclosing Party's duty of care does not, however, extend to any independent verification or validation of the Confidential Information, nor does it create any express or implied warranties, representations, or guarantees as to the accuracy, completeness, or suitability of the Confidential Information for any particular purpose. The Receiving Party shall be solely responsible for any reliance on, or use of, the Confidential Information in furtherance of the Purpose, and shall bear all risks associated with such reliance or use.
