Draft Bylaws of the Markee LCA

Article I – Name and Purpose

Section 1. Name

The name of this limited cooperative association shall be Markee LCA (the “Cooperative” or “LCA”).

Section 2. Principal Office

The principal office of the Cooperative shall be located in Colorado, or at such other place as the Board may determine.

Section 3. Purpose

The Cooperative is organized to collectively own, operate, and govern the Markee platform, an open-source digital marketing cooperative that:

1. Provides a digital signage platform where anyone can purchase messages that fund communities, websites, platforms, open-source software, web3 ecosystems, and holders of digital real estate.
2. Partners with websites and platforms to distribute messages to select audiences while generating revenue for the Cooperative and its participants.
3. Uses Revnets to tokenize revenues and distribute ownership and value through the MARKEE token.
4. Supports the growth and sustainability of digital communities through cooperative governance and revenue-sharing mechanisms.

Article II – Members, Patrons, and Users

Section 1. Members

Members are MARKEE token holders who join the Markee Cooperative’s Gardens community. To join, Members sign the Covenant and stake MARKEE tokens that can be used for governance.

Section 2. Patrons

Patrons are Members who actively participate in platform activities through governance and message management, and earn dividends for their contributions.

Section 3. Users

Users are individuals or entities who purchase or lease messages through the Markee platform. Users can decide whether or not to receive MARKEE tokens for their payments, becoming Owners of the platform and the option of becoming a Member or Patron.
