DATA PROCESSING AGREEMENT

This Data Processing Agreement (“Agreement”) is entered into by and between:

and

[Client Name] (“Controller”)

Section 1. Background

The Controller uses the Processor’s analytics services, which involve ingestion, storage, processing, and visualization of customer relationship management (“CRM”) data via API integrations with platforms such as HubSpot, Salesforce, or similar.

Section 2. Definitions

• Controller: The party that determines the purposes and means of processing CRM and personal data.
• Processor: The party processing CRM and personal data on behalf of the Controller. Personal Data: Any information relating to an identified or identifiable natural person, as defined by applicable law.

Section 3. Data Processing Scope

3.1 Services: Processor will access Controller’s CRM data via API keys or OAuth provided by Controller, ingest, process/transform, store, and visualize such data using cloud and data processing products like but not limited to: Airbyte, dbt, Google BigQuery, and Metabase and/or a web app published by Axon Solutions.

3.2 Instructions: Processor will process Personal Data only on Controller’s documented instructions, except as required by law, and upon signing of this agreement default to the steps required to fulfill any of the product and/or services of Axon Solution’s offering.

3.3 Purpose: Solely for providing analytics, data processing, and visualization services as specified in the service agreement.

Section 4. Data Security & Confidentiality

4.1 Processor will implement reasonable administrative, technical, and organizational measures to protect Personal Data against accidental or unlawful destruction, loss, alteration, unauthorized disclosure, or access.

4.2 Processor will ensure only authorized personnel have access to Personal Data as required for delivering services.

4.3 Controller is responsible for maintaining the security and confidentiality of API keys and credentials provided to Processor.
