SELLER TERMS OF SERVICE

INTRODUCTION

This Agreement sets out the terms and conditions upon which you may use the DELLI Service and any application or functionality that DELLI makes available through the DELLI Service.

By using the DELLI Service, you agree to and accept these Terms of Service.

If you are using the DELLI Service on behalf of a company, organisation, or other entity, then you agree to the Agreement on behalf of the company, organisation, or other entity, and you represent that you have the authority to bind the company, organisation, or other entity.

The DELLI Service is provided by DELLI Limited, a company incorporated and registered in England and Wales under company number 13063011, whose registered office address is 9th Floor 107 Cheapside, London, England, EC2V 6DN ("DELLI").

  1. ****INTERPRETATION

"Additional Services" means any ancillary services (if any) provided by DELLI to the Seller in relation to the DELLI Service, as agreed by the parties in writing from time to time;

Additional Services Fee" means the fee relating to the provision of any Additional Services including additional Delivery related charges, as agreed in writing by the parties from time to time;

"Agreement" means the agreement between the Seller and DELLI, comprising the Terms of Service, any commercial terms agreed between the parties in writing, and the On-Boarding Documents for the provision of the DELLI Service;

"App Store" means the Apple App Store or the Google Play Store, each a digital distribution platform for mobile applications; and the provider of the App Store is the "Store Provider";

"Authorised User" means a person who is authorised by the Seller to access and use the DELLI Service on behalf of the Seller;

"Buyer" means a user of the DELLI App who purchases Products through the DELLI Service;

"Commencement Date" means the date from which the Seller will have access to the DELLI Service, as agreed by the parties;

"Confidential Information" means information which is identified as confidential or proprietary by either party, or by the nature of which is clearly confidential or proprietary;

"Content Standards" has the meaning given in clause 8.5;
