THIS TERMS OF USE AGREEMENT (the “Agreement”) constitutes a legally binding agreement between Sunodynamics, a company specializing in music mixing and mastering services, organized under the laws of the state (“Sunodynamics”) and the client, whether personally or on behalf of an entity (“Client”), regarding access and use of Sunodynamics’ website: https://www.sunodynamics.com (the “Website”) and any related media, channels, mobile websites, or applications. Failure to agree and adhere to all of the terms herein results in the express prohibition of the Client’s use of the Website, and Client must discontinue use immediately. Obligations to pay for services rendered remain enforceable.


1. Intellectual Property Rights

Unless otherwise indicated, the Website is the property of Sunodynamics. All source code, databases, functionality, software, website designs, audio, video, text, photographs, graphics (collectively, “Content”), and trademarks, service marks, and logos (“Marks”) are owned and controlled by Sunodynamics and protected by copyright, trademark laws, and international intellectual property regulations. Content and Marks are provided “as-is” for personal use only. No part of the Website or Content may be copied, reproduced, republished, uploaded, posted, displayed, transmitted, distributed, sold, licensed, or exploited commercially without prior written permission from Sunodynamics.


2. Ownership of Materials

All music projects created for the Client (“Projects”) are the property of the Client, and the Client retains full copyright. Sunodynamics assigns any rights it might otherwise have to the Client. Client warrants that all materials provided (samples, stems, references) are owned by Client or properly licensed, and do not infringe on third-party rights. Sunodynamics may publicly share Client Projects (website, social media) unless otherwise agreed in writing or under NDA.


3. Third-Party Sounds

If Projects include third-party sounds requiring licenses for legal reproduction or distribution (“Third-Party Sounds”), Sunodynamics will notify the Client. Client assumes responsibility for obtaining licenses from rights-holders for any Third-Party Sounds incorporated into the Project.


4. User Representations

By using the Website, Client confirms that:
